HAMMOCK BEACH ESTATES HOME OWNER’S ASSOCIATION
Special Meeting of Ocean Dune Circle Lot Owners
Monday, December 1, 2003, 6:00 p.m.,
Hammock Community Building, Malacompra Road
Minutes of the Meeting
- The
owners of Lots 1-29 (Ocean Dune Circle) met at a special meeting called by
the Board of Directors of the Hammock Beach Estates Home Owner’s
Association “to vote on the formation of an additional home owners
association for owners of Lots 1-29” as authorized by the Association’s
Declarations of Covenants and Restrictions. Further, if the meeting resulted in a two-thirds affirmative
vote to form an additional homeowners association, the notice called for
election of a three-member Board of Directors and adoption of budgets for
2003 and 2004. The following homeowners
were present in person: Karen and
Mike Joyce, Carol and Joe Sermarini, Jack Cairney, Whit Lord, and Robert
Thomason. Additionally, the
following homeowners submitted absentee ballots: Craig and Diane Arlotta, Roger and Juliet Demen, Jim and Yvonne
Dykes, Gary and Susan Fairley, David and Pamela Fowler, Gedeco Corporation
(2), Norman and Jane Hansen (2), Rich Herter, Rollie and Barb Hess (3),
Paul Janaszek, Jeffrey and Christina Kissinger, Robert and Susan Lynch,
Daniel and Nancy Ponce, Stan and Jo Ann Rosenbaum, and Stajo Construction
(2).
- The
Ocean Dune Circle Advisory Committee (Gary Fairley, Chair, George
DeMeglio, and Joe Sermarini) had been asked to conduct the meeting, and
Committee Member Joe Sermarini presided.
Robert Thomason acted as secretary and recorded attendance,
received absentee ballots, and distributed ballots to those who were
present in person.
- Joe Sermarini,
who had personally mailed the notice of the meeting along with an absentee
ballot and a self-addressed, stamped reply envelope, announced that the
mailing had occurred on November 7 and had been sent to all the registered
lot owners on Ocean Dune Circle at the address provided by them to the
Association.
- Two elections supervisors, Jack Cairney and Carol Sermarini, were then
nominated and elected. A
discussion of the proposal to form an additional association followed,
culminating in the marking of ballots (see attached). The election supervisors then retired
to tabulate the ballots cast at the meeting along with the absentee
ballots, which had been received.
- Carol Sermarini announced the following
results of the voting. Item
1.Lot Owners 1-29 should form an
additional association as authorized in the HBEHOA C&R’s Article
V. 20 approved; 1 disapproved. Having received the
necessary two-thirds vote, the item was adopted. She
also announced the results of the voting on Item 2 as follows:Mike Joyce, Joe Sermarini, and Whit
Lord were elected to the Board of Directors for the additional
association. George DeMeglio, Susan
Fairley, and Robert Thomason also received votes.
- The
proposed budgets and assessments for 2003 and 2004 (see attached) had been
mailed to all lot owners. They
were unanimously adopted without discussion.
- Attention
was called to the fact that, on November 16, after the notice of the
meeting had been mailed out with accompanying absentee ballots, the
developer had enacted an amendment to the C&R’s changing the
applicable provision as follows (additions are bold and underlined):
“The owners of Lots 1 to and including 29…shall have the right to
establish a separate Homeowner’s Association (hereinafter “Armand Beach
Estates Homeowners
Association”) or take over
control of said association, if it has been incorporated at no cost to the
homeowners…” The presiding
officer noted that the earlier form of the applicable C&R provision
(not the amended version) was the subject of the vote since that had been
announced and printed in the notice of the meeting.
- The meeting was then adjourned.

Immediately following adjournment, the newly elected Board
of Directors met and elected the following officers: Mike Joyce, President; Whit Lord, Secretary; and Joe Sermarini,
Treasurer.
